SAO PAULO, Brazil, May 6 /PRNewswire-FirstCall/ — Tecnisa (Bovespa:
TCSA3), one of the largest and most renowned real estate companies in
Brazil and among the five biggest in the city of Sao Paulo, announces that
pursuant to CVM Instruction 358 of January 3, 2002, as amended thereto, and
giving continuity to the Material Fact of March 18, 2008, Tecnisa S.A.
(”Tecnisa”) hereby informs that pursuant to an agreement it exercised on
this date the right to sell six million, eight hundred fifty seven
thousand, nine hundred twenty seven (6,857,927) quotas of Windsor
(”Company”) to Agra Empreendimentos Imobiliarios S.A. (”Agra”).

These quotas account for 5% of the capital stock of the referred
Company, which were sold by the amount of thirteen million, three hundred
sixty four thousand, eight hundred forty eight reais and thirty five
centavos (R$13,364,848.35) paid on the option exercise date.

Windsor is the owner of the real estate located at Avenida Marques de
Sao Vicente, no. 2.353, corner with Avenida Nicolas Boer, no. 301, Barra
Funda Neighborhood, in the city of Sao Paulo, State of Sao Paulo, with a
total area of 251,380.81 square meters (the “Real Estate”).
